Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Astlian, Inc.("Astlian", "we", "our", or "us") governing your access to and use of the Astlian suite of products, including Kanvamo and astlian.com (collectively, the "Services").

By creating an account or using our Services, you confirm that you are at least 16 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

To use most Astlian Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and not share your credentials.
• Notify us immediately at legal@astlian.com if you suspect unauthorized access to your account.
• Take responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion, with reasonable notice where practicable.

Some Services require a paid subscription. By subscribing, you authorize Astlian (through our payment processor, Stripe) to charge your payment method on a recurring basis at the price stated at the time of purchase.

• Billing cycle: Monthly or annual, as selected at checkout.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused time in a billing period, except where required by law.
• Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new price.
• Taxes: Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes.

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Transmit malware, spam, or other harmful or disruptive content.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Scrape, crawl, or data-mine our Services without written consent.
• Reverse-engineer, decompile, or disassemble any part of our software.
• Use our Services to build a competing product or service.
• Harass, abuse, or harm any individual or group.

We reserve the right to investigate and take appropriate action, including removing content or suspending accounts, for violations of this section.

"Your Content" means any data, text, files, documents, or other materials you submit, upload, or create within the Services.

• Ownership: You retain all ownership rights to Your Content.
• License to Astlian: You grant Astlian a non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit Your Content solely to provide and improve the Services for you.
• Responsibility: You are solely responsible for Your Content and the consequences of sharing it. Astlian does not endorse or verify user content.
• Backup: While we maintain backups as part of our infrastructure, you are responsible for maintaining your own backups of critical data.

The Services, including all software, designs, logos, text, and other content created by Astlian, are owned by or licensed to Astlian and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to sublicense, resell, or create derivative works based on our Services.

"Astlian," "Kanvamo," and associated logos are trademarks of Astlian, Inc.. You may not use our trademarks without prior written consent.

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your data as described in the Privacy Policy.

The Services may integrate with third-party tools and services (e.g., Slack, GitHub). Your use of such integrations is governed by the applicable third-party terms of service. Astlian is not responsible for the conduct or content of third-party services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We do not warrant the accuracy, completeness, or reliability of any AI-generated features or summaries. AI outputs should be reviewed by a qualified human before any consequential decisions are made based on them.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASTLIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL ASTLIAN'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ASTLIAN IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless Astlian and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for resolution of any disputes.

Before filing a formal dispute, we encourage you to contact us at legal@astlian.com to attempt informal resolution. We will try to resolve disputes within 30 days.

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-product notification. Your continued use of the Services after the effective date of changes constitutes your acceptance of the revised Terms. If you disagree with the changes, you must stop using the Services and cancel your subscription before the effective date.

Either party may terminate this agreement at any time. You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use the Services ceases immediately. Sections 5 (Your Content), 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Dispute Resolution) survive termination.
